1. Who we are and how these terms apply
1.1 These Terms of Use (“Terms”) are a binding agreement between you and Simmer Oy, a Finnish limited liability company (“Simmer”, “we”, “us”). Our details:
- Simmer Oy, Business ID 3176548-7
- Kauppalantie 17, 00320 Helsinki, Finland
- Email: info@teamsimmer.com
- Contact form: https://www.teamsimmer.com/contact/
- VAT number: FI31765487
1.2 These Terms cover your use of www.teamsimmer.com and every course, lesson, video, download, live session, community space, certificate and other service we provide (together, the “Service”).
1.3 You accept these Terms when you create an account, buy a course or use the Service. At checkout, we tell you that placing an order means you accept them. If you do not accept them, do not use the Service.
1.4 Our Privacy Policy also applies. If it conflicts with these Terms, these Terms prevail. Specific terms shown on a course page (for example, a different refund window) prevail over these Terms for that course, but never reduce your statutory rights.
1.5 In these Terms:
- A Consumer is a natural person who buys or uses the Service mainly for purposes outside their trade, business or profession.
- A Business Customer is anyone who is not a Consumer, including a company buying courses for its employees.
- Some sections apply differently to Consumers and Business Customers. Where they do, the section says so.
1.6 Nothing in these Terms limits any right that a Consumer has under mandatory law, including the Finnish Consumer Protection Act (38/1978) and the consumer law of the country where the Consumer lives.
2. Eligibility and your account
2.1 You must be at least 18 years old and able to enter into a binding contract. If you act for an organisation, you confirm that you have authority to bind it to these Terms. The organisation is then the Business Customer.
2.2 You need an account to access purchased courses. Give accurate, current information and keep it up to date, including your billing details.
2.3 Your account is personal. Do not share your login details or let anyone else use your account. You are responsible for activity on your account unless it results from our fault or from a security breach you could not reasonably prevent.
2.4 Tell us at info@teamsimmer.com without delay if you suspect unauthorised use of your account.
2.5 We may detect and limit unusual use that suggests account sharing, such as simultaneous logins from many locations. We will contact you before taking action under section 9, unless the misuse is serious or obvious.
3. Courses, licence and access
3.1 Licence. When you pay for a course, we grant you a personal, non-exclusive, non-transferable licence to access and use it for your own learning. Business Customers receive the licence for the number of named users (“seats”) they paid for. You do not acquire ownership of any course material.
3.2 Access period. Unless the course page states a fixed period, you have access to a purchased course for as long as we offer that course on the Service (“lifetime access”). Lifetime access means the lifetime of the course on the Service, not your lifetime or ours. Access includes updates we publish to that course.
3.3 Updates. We occasionally update courses to keep them accurate. We may add, revise or remove lessons, as long as the course as a whole still matches its description at the time of purchase. We will not make changes that significantly reduce your access or use without telling you in advance.
3.4 Retiring a course. If we stop offering a course, we will give you at least 90 days’ notice by email. If we retire a course within 24 months of your purchase, we will, at your option, give you access to a comparable course or refund a proportional part of the price. Where mandatory law gives you further rights, those apply.
3.5 Pre-sales and early access. Some courses are sold before all material is published. The course page states what is available now and the expected release schedule. If we do not deliver the promised material within a reasonable time, you may ask for a refund under section 5.
3.6 Team seats. A Business Customer may assign each seat to one named person and may reassign a seat when that person leaves the organisation, up to once per seat per 12 months. Seats may not be shared or rotated.
3.7 Certificates. Certificates of completion confirm that a learner finished a course on the Service. They are not an accredited qualification. We may revoke a certificate obtained by misuse of the Service.
3.8 Technical requirements. You need a supported browser and a stable internet connection. The course page or help pages list any further requirements. We are not responsible for problems caused by your own devices, software or connection.
4. Prices, payment and taxes
4.1 Prices. Prices are shown on each course page and at checkout in euros. For Consumers in the EU, the price shown at checkout includes VAT at the rate of the Consumer’s country. Business Customers in the EU outside Finland who give a valid VAT number are invoiced without VAT under the reverse-charge mechanism.
4.2 Price changes. We may change prices for future purchases at any time. A price change never affects an order you have already placed.
4.3 Discounts. Discount codes and promotional prices apply only as stated, cannot be combined unless stated, and have no cash value. If we lower a price after your purchase, you are not entitled to the difference.
4.4 Payment. You pay in full at checkout through our payment providers (Stripe, PayPal). Business Customers may be offered invoice payment with 14 days’ payment terms. Access starts once payment is confirmed. We do not store full card details.
4.5 Instalments. If we offer an instalment plan, you must pay every instalment when due. If an instalment fails and is not paid within 14 days of our reminder, we may suspend access until it is paid.
4.6 Subscriptions. If a product is sold as a subscription, the course page and checkout state the price, billing interval and what is included. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time in your account settings, and the cancellation takes effect at the end of the current period. We will notify you at least 30 days before a price change takes effect on a subscription, and you may cancel before then.
4.7 Late payment (Business Customers). Overdue invoices accrue interest under the Finnish Interest Act (633/1982). We may suspend access for overdue accounts.
4.8 Receipts. We send a receipt or invoice by email for every payment.
5. Right of withdrawal and refunds
5.1 Statutory right of withdrawal (Consumers only). As a Consumer, you may withdraw from a purchase within 14 days of the day the contract was concluded, without giving a reason. Section 5.2 explains when this right ends early.
5.2 Digital content: when the right ends. Courses are digital content not supplied on a tangible medium. At checkout, we ask for your express consent to start supply during the withdrawal period, and for your acknowledgement that you lose your right of withdrawal once supply starts. If you give both, your right of withdrawal for that course ends when you first get access to it. We confirm your consent and acknowledgement by email. You must give this consent to complete a purchase. It applies only to on-demand courses, not to live courses (section 5.3) or to pre-sale courses before any of their material is available. For a pre-sale course, you may withdraw within 14 days of purchase, even if the course is released during that time.
5.3 Live courses and services. For live courses, workshops, coaching or other services, you may withdraw within 14 days of purchase and get a full refund, even if the course has already started. After the 14 days, the limited guarantee on the course’s FAQ page applies.
Examples
- You buy an on-demand course. You get access straight away, so your right of withdrawal ends. The satisfaction guarantee in section 5.6 still applies.
- You buy a pre-sale course that has no material out yet. You can withdraw within 14 days of purchase for a full refund, even if the course is released during that time. After that, the satisfaction guarantee applies.
- You buy a live course that starts in six weeks. You can withdraw within 14 days of purchase for a full refund. After that, the limited guarantee on the course’s FAQ page applies.
- You buy a live course that starts in five days. You can withdraw within 14 days of purchase for a full refund, even after the course has started. After that, the limited guarantee on the course’s FAQ page applies.
5.4 How to withdraw. Use the withdrawal function (“Withdraw from contract here”), email info@teamsimmer.com, or send the model form below. A clear statement is enough. We confirm receipt by email, with the date and time of your request. You meet the deadline if you send your request before the 14 days end.
5.5 Refund after withdrawal. We refund all payments received from you within 14 days of receiving your withdrawal, using the same payment method unless you expressly agree otherwise. You pay no fees for the refund. Your access to the course ends when we process the withdrawal.
5.6 Simmer satisfaction guarantee (voluntary). In addition to your statutory rights, we offer the following voluntary guarantee on courses, except for the products described below: if you are not satisfied for any reason, email info@teamsimmer.com within 30 days of purchase, or within 30 days of all course material becoming available, whichever is later, and we will refund the full price, no questions asked. Some products are not covered by this guarantee and instead carry a limited satisfaction guarantee. For those products, the product’s FAQ page states what the limited guarantee is, and that page applies in place of this section. Neither this guarantee nor a limited one affects your statutory rights. We may refuse the guarantee where we see a pattern of buying, consuming and refunding courses.
5.7 Business Customers. The statutory right of withdrawal does not apply to Business Customers. Business Customers may use the voluntary guarantee in 5.6.
5.8 Faulty courses. Your rights for courses that do not conform to the contract are described in section 8 and are not affected by this section.

6. Acceptable use and intellectual property
6.1 Our rights. Simmer Oy or its licensors own all rights in the Service, including course videos, text, code samples, templates, slides, quizzes, the Simmer name and logo, and the website design. Except for the licence in section 3.1, no rights are transferred to you.
6.2 What you may do. You may watch and use the course material for your own learning and may use code samples and templates in your own or your employer’s projects, unless the course page says otherwise.
6.3 What you may not do. You may not, and may not help anyone else to:
- copy, download, record, screen-capture, redistribute, resell, sublicense or publicly show course material, except files we explicitly offer for download;
- share your account, or give anyone else access to course material;
- use course material to create a competing course, training product or service;
- use bots, scrapers or other automated tools to access, extract or index the Service;
- use course material to train, fine-tune or evaluate artificial intelligence or machine learning models, or feed it into AI tools in a way that makes it available to others;
- get around technical protections, access controls or payment;
- interfere with, overload or test the vulnerability of the Service without our written permission;
- impersonate anyone or misrepresent your affiliation with any person or organisation;
- use the Service to advertise or sell goods or services without our permission;
- use the Service in breach of any law, including sanctions and export control law.
6.4 Free material. Free courses, trials and downloads (“freebies”) are for your own use under the same rules. They may not be sold or transferred.
6.5 Your content. You keep the rights to questions, comments, project files and other content you post (“User Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, display and use your User Content to run and improve the Service, for as long as it remains on the Service. You confirm that you have the right to post it and that it does not infringe anyone’s rights or break the law.
6.6 Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
6.7 Copyright complaints. If you believe material on the Service infringes your rights, report it under section 7.4.
7. Live sessions, community and third-party services
7.1 Live sessions. We may record live sessions and make the recordings available to other learners. We tell you at the start of a session if it is recorded. If you do not want to appear, keep your camera and microphone off and use the chat or Q&A instead. If we must reschedule a session, we offer a new time or a recording; if neither suits a Consumer, we refund the part of the price that relates to that session.
7.2 Community rules. In comments, forums, chat and other community spaces, be respectful. Do not post content that is illegal, harassing, hateful, discriminatory, sexually explicit, misleading or infringes anyone’s rights. Do not spam or post other people’s personal data.
7.3 Moderation. We may remove User Content or restrict your access to community spaces if the content breaks these Terms or the law. When we do, we tell you what we did and why, and how you can ask us to review the decision, unless the law prevents it or the content is spam.
7.4 Reporting content. Anyone can report content they believe is illegal or infringes their rights by emailing info@teamsimmer.com. Include where the content is, why you believe it is illegal or infringing, your name and email, and a statement that your report is accurate and made in good faith. We review reports promptly and tell you what we decided. Our single point of contact under the EU Digital Services Act is info@teamsimmer.com, and we communicate in English and Finnish.
7.5 Third-party services. The Service uses or links to services we do not control, such as video hosting, payment providers, community platforms and tools taught in our courses. Their own terms apply to your use of them. We are not responsible for their content, availability or practices.
7.6 Affiliate links. Some links on the Service are affiliate links. If you buy through them, we may earn a commission at no extra cost to you. We only recommend products we consider relevant to our learners.
8. Conformity, disclaimers and liability
8.1 Conformity (Consumers). Courses must match their description on the course page and be fit for their purpose. If a course does not conform, a Consumer has the remedies available under chapter 5a of the Finnish Consumer Protection Act and the EU Digital Content Directive (2019/770): first, to have the course brought into conformity, and if that is not possible or does not happen within a reasonable time, a price reduction or termination with a refund. Report problems to info@teamsimmer.com.
8.2 Educational content only. Courses are for educational and informational purposes. They are not legal, financial, tax, data protection or other professional advice. You are responsible for how you apply what you learn, including compliance with privacy and marketing law in your own work.
8.3 No guaranteed results. We do not promise any particular career, business, income or technical result. Results depend on your effort, background and circumstances. Examples and case studies are not typical results.
8.4 Availability. We aim to keep the Service available at all times, but maintenance, updates and events outside our control may interrupt it. We will try to announce planned maintenance in advance.
8.5 Tools and platforms. Courses often teach third-party tools (for example, analytics and tag management platforms). Those vendors change their products without notice. We update courses within a reasonable time but do not guarantee that every lesson reflects the latest version of a third-party tool at all times.
8.6 Liability to Consumers. We are liable to Consumers in accordance with mandatory law. We are not liable for indirect or consequential losses, such as lost profit, unless the loss results from our intent or gross negligence, or mandatory law provides otherwise.
8.7 Liability to Business Customers. To the extent permitted by law: (a) we are not liable for indirect or consequential losses, including lost profit, revenue, data or business opportunity; and (b) our total liability for all claims in any 12-month period is limited to the fees the Business Customer paid us in that period.
8.8 No limitation. Nothing in these Terms limits liability for death or personal injury caused by negligence, for losses caused by intent or gross negligence, or any other liability that cannot be limited under applicable law.
8.9 Indemnity (Business Customers). A Business Customer will compensate us for third-party claims and reasonable costs that arise from its users’ breach of sections 3 or 6.
8.10 Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control, such as network failures, outages at hosting providers, natural disasters, war, strikes or government action.
9. Suspension and termination
9.1 By you. You can stop using the Service and ask us to close your account at any time by emailing info@teamsimmer.com. Closing your account ends your access to purchased courses. It does not entitle you to a refund, except under section 5 or mandatory law.
9.2 By us. We may suspend or end your access if you materially breach these Terms, for example by sharing your account, redistributing course material or not paying. Before we do, we will tell you about the breach and give you a reasonable chance to fix it, unless the breach is serious, deliberate or cannot be fixed.
9.3 Effect. If we end your access because of your material breach, you are not entitled to a refund for the affected courses, to the extent permitted by law. If we end your access for any other reason, we refund a proportional part of the price for courses you can no longer access.
9.4 What survives. Sections 6, 8 and 10, and any payment obligations, survive termination.
10. Privacy, changes, law and disputes
10.1 Privacy. We process personal data as described in our Privacy Policy, in line with the EU General Data Protection Regulation.
10.2 Changes to these Terms. We may update these Terms to reflect changes in the law, our Service or our business. The new version applies to purchases made after it is published. For existing customers, we give at least 30 days’ notice by email before a material change takes effect. If you do not accept the change, you may cancel a subscription before it takes effect, and the earlier Terms continue to apply to one-time purchases you made under them, unless the change is required by law.
10.3 Governing law. These Terms are governed by the laws of Finland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a Consumer living in another country, you also keep the protection of the mandatory consumer law of that country.
10.4 Consumer disputes. Please contact us first at info@teamsimmer.com; we aim to resolve complaints within 14 days. A Consumer may also refer the dispute to the Finnish Consumer Disputes Board (Kuluttajariitalautakunta, www.kuluttajariita.fi) after first contacting the Consumer Advisory Services (www.kkv.fi). Consumers living in another EU country can get help from the European Consumer Centre in their country (www.eccnet.eu). A Consumer may bring a claim in the district court of their home municipality in Finland, or in the courts of the EU country where they live.
10.5 Business disputes. Disputes with Business Customers are settled by the Helsinki District Court as the court of first instance.
10.6 Entire agreement. These Terms, the Privacy Policy, the course page and your order confirmation form the entire agreement between you and us about the Service.
10.7 Severability. If any part of these Terms is found invalid or unenforceable, the rest remains in force, and the invalid part is replaced by a valid provision as close to its purpose as possible.
10.8 No waiver. If we do not enforce a right immediately, we have not waived it.
10.9 Assignment. You may not transfer your rights under these Terms without our consent. We may transfer the agreement to a successor in a merger, acquisition or sale of the business, as long as your rights are not reduced.
10.10 No partnership. These Terms do not create any partnership, joint venture, employment or agency relationship.
10.11 Language. These Terms are written in English. If we provide a translation, the English version prevails, except where mandatory consumer law requires otherwise.
10.12 Contact. Simmer Oy, Kauppalantie 17, 00320 Helsinki, Finland. Email: info@teamsimmer.com.
